  • Lead and manage a small team in Hong Kong to address all company secretarial matters for the Group.
  • Organize and facilitate meetings for the board of directors and committees.
  • Prepare board minutes, resolutions, annual and interim reports, ESG reports, announcements, and circulars, especially for the listed entities.
  • Ensure compliance with relevant rules and regulations, particularly listing rules and company laws across various jurisdictions.
  • Draft, review, comment on, and proofread commercial agreements and legal documents for the Group.
  • Supervise and manage KYC requests from banks and agents.
  • Liaise with legal advisors and other professional service providers.
  • Provide advice to senior management on corporate governance, compliance issues, and related developments.

Profile

  • Bachelor's degree in Corporate Governance, Law, or a related field.
  • Relevant professional qualifications are essential.
  • A minimum of 10 years of post-qualification experience in a similar role within a listed company.
  • In-depth knowledge of Hong Kong Main Board Listing Rules.
  • Familiarity with the legal, company secretarial, and corporate governance frameworks in Greater China, as well as common offshore jurisdictions such as the BVI and Bermuda.
  • Experience in managing general commercial contracts and legal matters related to manufacturing, trading, import/export, and leasing is beneficial but not mandatory.
  • Strong communication, presentation, and interpersonal skills, with the ability to adapt to and lead changes.
  • Hands-on approach, detail-oriented, and capable of leading by example.
  • Proficient in written and spoken English and Chinese; proficiency in Mandarin is required.
